General Terms and Conditions
1. Introduction
1.1 Scope of application
The following terms and conditions apply to all legally valid transactions of Glenfis AG - hereinafter referred to as Glenfis - that are concluded via the internet portal www.glenfis.ch.
These terms and conditions are an integral part of all, including subsequent, transactions with Glenfis customers. They are recognized by registering for a seminar, ordering a course or other product (e.g. assessment tools).
Glenfis does not recognize any other terms and conditions, in particular purchasing conditions of customers, even without explicit written objection.
If - in exceptional cases - mutually agreed terms and conditions between Glenfis and the buyer/customer deviate from this, these must be set out in writing between the contracting parties.
1.2 Validity
These GTC apply for an indefinite period and will be adapted, amended or extended by Glenfis as required.
1.3 Applicable law
The customer is not entitled to assign his claims arising from this contract.
Swiss law shall apply. The place of jurisdiction is Zurich.
2. Seminars section
2.1. Public seminars
Registrations for the seminars must be sent to Glenfis AG in writing or electronically. Reservations can be made by telephone or electronically, but will only be considered if written registration is received by Glenfis AG within 7 calendar days. The number of participants is limited to 15. Registrations will be considered in the order in which they are received. If seminars are already fully booked, the customer will be notified and informed of the next available dates. If there are fewer than 5 registered participants, Glenfis AG reserves the right to cancel the course.
2.2 Company seminars
On the basis of an individual offer to the customer, an individual contract is concluded for company seminars, which is generally subject to the provisions of the "General Course Terms and Conditions", unless otherwise agreed in individual contracts. The offer includes in particular the individual service components and the modalities of the in-house training courses (training centers, customer premises, etc.).
2.3 Data privacy
The data relating to the seminar contract will be stored electronically for internal purposes in compliance with data protection regulations.
2.4 Seminar fees
The seminar fees include the following services: Seminar implementation and seminar documents. For open seminars, the use of training rooms and their technical equipment for teaching purposes, lunch and drinks during breaks are also included. The prices are (unless otherwise stated) per participant and are exclusive of VAT. The seminar fees in the current price list apply.
Partial participation does not entitle the participant to a reduction in the seminar price. In the case of company seminars outside German-speaking Switzerland, travel times and the lecturer's travel and hotel costs will be charged at the prices agreed in the individual contract.
The seminar fees must be paid on time.2.5 Invoicing and payment modalities
Invoicing by Glenfis for seminars is generally carried out electronically by e-mail to the invoice address specified in the registration form.
The customer shall ensure the accuracy of his details with regard to the data relevant to the order and invoice.
The customer transfers the invoice amount due within the specified payment period and without deduction to the specified Glenfis account.
Glenfis reserves the right to exclude seminar participants from current or future events if the invoice amount has not been paid on time. In the case of framework agreements, payment is made in accordance with the agreed terms.
2.6 Cancellation by participant
Cancellation of a firmly booked training course by the participant must be made in writing. If this is received by Glenfis AG no later than four weeks before the start of the seminar, the participant will not incur any costs. In the event of a later withdrawal up to two weeks before the start of the seminar, 50% of the seminar fees are due. After this date, 100% of the agreed seminar fee is due. Substitute participants must be named at least one week before the seminar.
2.7 Liability and compensation
If a seminar is canceled due to illness of the speaker, force majeure or other unforeseeable events, there is no entitlement to the event being held. In such cases, Glenfis cannot be held liable for reimbursement of travel and accommodation costs or compensation payments for loss of working hours.In general, Glenfis can only be held liable for the cancellation of a seminar in the event of intent and/or gross negligence.
In the case of trainers named in individual contracts, no claim for compensation can be made against Glenfis if the trainer is absent for an important reason.
Glenfis is not liable for damage caused directly or indirectly by the holding of a seminar - unless this damage was caused intentionally or through gross negligence by Glenfis or its vicarious agents (e.g. subcontractors).
Glenfis is not liable for indirect damage, in particular loss of profit or other third-party claims.
Lessons and exercises are designed in such a way that an attentive participant can achieve the seminar objective. Glenfis does not guarantee the success of the seminar or the passing of a subsequent examination by the respective participant. Glenfis is not liable for any resulting damage.
Glenfis accepts no liability for the loss of or damage to participants' valuables or other items such as clothing.
2.8 Seminar materials
Depending on the event in question, participants will receive seminar documents, working materials and accompanying literature.
The participant/customer undertakes to recognize and comply with Glenfis' copyrights and not to copy, modify and/or pass on to third parties the documents provided in analogue and/or electronic form.2.9 Protection and copyrights
The documents produced and handed out to participants as part of seminars or individual customer events are the intellectual property of Glenfis. Glenfis claims the copyright for this.
All rights remain with Glenfis, including the translation, reprinting and reproduction of these seminar documents - including excerpts - only with the written permission of Glenfis.
Glenfis reserves the right to have any infringements of property rights and copyrights checked and, if necessary, to take legal action.
3. eLearning section
3.1 Requirements for using the learning platform
Users must provide the technical requirements for Internet access in working order at their own expense.
Users undertake to treat personal login data, such as user IDs and passwords, confidentially and not to disclose them to third parties or make them accessible in any other way. This applies in particular to the disclosure of login data to third parties for the purpose of communicating the content of the learning platform.Users also undertake not to deposit or otherwise disseminate on this portal any texts, documents or other data or references in any form whatsoever that are offensive, threatening, obscene, racist or otherwise contrary to public decency, in breach of applicable laws or protected by copyright.
Our TERMS-OF-USE also apply to the use of the learning platform.
3.2 Property rights
The content offered within the scope of use may only be used by the participant for personal purposes for further training and information - screen-based.
Printouts, storage or reproduction of content require written permission from Glenfis in all cases.
No content or copies of the content may be passed on, rented, lent or made available in any other form to third parties, whether for a fee or free of charge.All content is protected by Glenfis copyright.
The authors and license holders reserve all rights, in particular those of reprinting, translation, reproduction by photomechanical or similar means, storage and processing in computer networks - even in extracts.
The participant or the client does not receive any ownership or other exploitation rights to the content provided.3.3 Availability of the learning platform
The Moodle learning platform is generally available 365 days a year, 24 hours a day. Restrictions may occur in exceptional cases due to maintenance work.
Faults are rectified according to best effort principles.3.4 Support requests
In the event of faults, the Glenfis Service Desk can be contacted by email (academy@glenfis.ch).
The response time from Glenfis for fault reports is 24 hours, within the Service Desk hours of Monday - Friday, 08:00 - 17:00 Central European Time CET, CEST4. General provisions
4.1 Data protection and confidentiality
The clients/customers of the seminars agree to the processing of their personal data to the extent that this is necessary for the handling of the associated business processes (e.g. exam registration/orders).
Glenfis undertakes to treat all customer-related data confidentially and not to make it available to third parties - for a fee or free of charge - for further processing.4.2 Trademark notice
All listed and displayed trademarks, in the form of figurative or word marks, are the property of the respective companies.
4.3 Severability clause and amendments
The invalidity of individual provisions shall not affect the validity of the remaining provisions of these General Terms and Conditions of Glenfis.
Amendments and additions to the General Terms and Conditions must be made in writing in all cases.
